This End User License Agreement (the "Agreement") is concluded between ARTISMEDIA Sp. z o.o. (the "Licensor") and the organization or person that installs or uses the Application on its Bitrix24 account (the "Licensee").

By installing or using the Application you accept this Agreement. If you do not agree, do not install or use the Application. If you accept on behalf of an organization, you confirm that you are authorised to bind it.

1. Definitions

1.1. Application — the Sheets24 software provided as a cloud service for exporting CRM records of a Bitrix24 account to Excel files and Google Sheets, importing spreadsheets into the CRM and synchronising Google spreadsheets with the CRM, including updates and documentation.

1.2. Bitrix24 account — the Licensee's cloud Bitrix24 workspace or on-premise Bitrix24 installation on which the Application is installed.

1.3. Marketplace — the Bitrix24 Marketplace through which the Application is distributed.

1.4. CRM record — a lead, deal, contact, company, smart process item or product in the Bitrix24 account.

1.5. Spreadsheet — an XLSX or CSV file uploaded to or downloaded from the Application, or a Google spreadsheet created by the Application or chosen by a user in the Google Picker.

1.6. Sync — a connection between a CRM entity and a Google spreadsheet set up by a Bitrix24 administrator, with a direction (CRM to spreadsheet, spreadsheet to CRM, or two-way), selected fields, filter and update mode (manual, real time, schedule).

1.7. Free plan — the plan under which the Application is installed and used free of charge, with the features and limits listed in Section 4.2.

1.8. Pro plan — the paid plan that removes the limits and adds the features marked "Pro" in Section 4.2, available during the Trial or under an active Subscription.

1.9. Trial — a one-time 14-day period of the Pro plan free of charge for a Bitrix24 account (Section 4.4).

1.10. Subscription — the Licensee's paid subscription to the Pro plan for one Bitrix24 account, billed monthly or yearly through Stripe.

2. What the Application does

2.1. Export. Users export CRM records with the fields and filter they choose to XLSX or CSV files.

2.2. Import. Users upload XLSX or CSV files; the Application maps columns to CRM fields, shows a preview of which rows will create or update CRM records and which will be skipped or have errors, finds existing records by ID, e-mail, phone or a chosen field, and on the user's confirmation creates and updates CRM records and provides a report.

2.3. Google Sheets. A Bitrix24 administrator connects a Google account and sets up Syncs. Depending on the Sync, the Application creates a spreadsheet and writes CRM records into it, updates rows when CRM records change (in real time or on a schedule), removes rows of deleted records, imports rows from a spreadsheet into the CRM, or synchronises both ways under the conflict rule chosen by the administrator ("the latest change wins", "CRM wins" or "the sheet wins").

2.4. What the Application changes. In Bitrix24 the Application creates and updates CRM records only as a result of an import confirmed by a user or of a Sync set up by an administrator; it adds phone numbers and e-mail addresses without removing existing ones; it does not delete CRM records. It subscribes to CRM change notifications for the entities used in real-time Syncs. In Google it writes only into spreadsheets created by the Application or chosen by the user, and only the fields selected in the Sync.

2.5. The specific set of features is determined by the current version of the Application and its description in the Marketplace. Which features are available in the Free plan and which only in the Pro plan is set out in Section 4.2.

3. License grant

3.1. The Licensor grants the Licensee a non-exclusive, non-transferable, worldwide, revocable license to use the Application on the Licensee's Bitrix24 account for its internal business purposes for as long as the Application is installed. Features of the Pro plan are available only during the Trial or while a Subscription is active.

3.2. The number of Bitrix24 users who may use the Application is not limited by the Licensor; it is determined by the Licensee's Bitrix24 plan.

3.3. All intellectual property rights in the Application remain with the Licensor. The Licensee's data, CRM records and Spreadsheets remain the Licensee's. No rights are granted except those expressly stated.

4. Plans, subscription and payment

4.1. Plans. The Application is free to install. It is offered in two plans: the Free plan, free of charge and without time limit, and the paid Pro plan. The plan applies to the whole Bitrix24 account: one Subscription covers one Bitrix24 account (identified by its installation ID, member_id) and all its users; the price does not depend on the number of users.

4.2. Features by plan:

Import from XLSX/CSV with preview and duplicate searchup to 500 rows per importup to 100,000 rows per import

Real-time updates on CRM changesnoyes
Scheduled Syncs (every 15 minutes, hourly, daily)noyes

4.3. Prices. The price of the Pro plan per Bitrix24 account is €9 per month or €90 per year, exclusive of VAT; it is also shown in the Application and in the Marketplace listing. The price that applies to the Licensee is the price shown in the Application and on the Stripe payment page when the Subscription is started.

4.4. Trial. The Trial starts automatically when the Application is first installed or first opened on a Bitrix24 account and lasts 14 days. No payment card is required. The Trial is granted once per Bitrix24 account: reinstalling the Application does not start it again. When the Trial ends without a Subscription, the account moves to the Free plan automatically and nothing is charged. If the Licensee starts a Subscription during the Trial, the remaining Trial days are kept and the first charge is made when the Trial ends.

4.5. Who may subscribe. Only a Bitrix24 administrator of the Licensee can start, change or cancel a Subscription, from inside the Application. The administrator confirms that they are authorised to make the purchase on behalf of the Licensee.

4.6. Payment. The Licensor collects payments directly; payments are not made through the Marketplace. Payment is made on the Stripe Checkout page, which opens in a separate browser tab, and is processed by Stripe Payments Europe, Limited (Ireland) as payment processor. The Licensor never receives or stores payment card data.

4.7. Billing and renewal. The Subscription is billed in advance for each billing period (one month or one year) and renews automatically for the same period until it is cancelled.

4.8. Cancellation. The Licensee may cancel the Subscription at any time through "Manage subscription" in the Application (Stripe Customer Portal) or by e-mail to artismediaeu@gmail.com. Cancellation takes effect at the end of the current paid period; the Pro plan remains available until then.

4.9. Failed payment. If a renewal payment fails, the Pro plan remains available until the end of the paid period plus a grace period of 7 days. If payment is still not received, the account moves to the Free plan.

4.10. Uninstalling does not cancel the Subscription. The Licensee must cancel it in the Customer Portal before uninstalling, or by e-mail to artismediaeu@gmail.com, in which case the Licensor cancels it on request.

4.11. Price changes. The Licensor may change prices with at least 30 days' notice to the Bitrix24 administrator of the Licensee. A new price applies from the next renewal after the notice period; the Licensee may cancel before that renewal.

4.12. VAT and invoices. Prices exclude VAT. VAT is calculated by Stripe Tax on the basis of the billing address and VAT ID provided at checkout: for business customers in the EU outside Poland with a valid VAT ID, the reverse-charge mechanism applies; for customers in Poland, 23% Polish VAT is charged; for consumers in the EU, the VAT of their country of residence is charged; for customers outside the EU, taxes are applied according to the applicable rules. Invoices and receipts are issued through Stripe and are available in the Customer Portal.

4.13. Refunds are governed by the Sheets24 Refund and Cancellation Policy (https://sheets.ai-automation-agency.biz/legal/refund), which forms part of this Agreement. Mandatory rights of consumers under applicable law are not affected.

4.14. Returning to the Free plan. When the Pro plan ends, the limits of the Free plan apply again: real-time, scheduled and two-way Syncs stop; one Sync can still be run manually; other Syncs remain saved and resume when the Pro plan is active again. Data already written to Bitrix24 and to spreadsheets is not affected.

5. Imports, Syncs and Google

5.1. Imports change CRM data. An import creates and updates CRM records according to the preview confirmed by the user. The Licensee is responsible for checking the preview and the mapping of columns before confirming. The Application does not undo an import; the Licensee should keep a copy of important data (for example by exporting it first).

5.2. Two-way Syncs. In a two-way Sync, changes made in the spreadsheet by anyone who can edit it are written to the CRM. The Licensee is responsible for who can edit the spreadsheet (Google sharing settings) and for the conflict rule. Under "the latest change wins", the time of a change in the spreadsheet is determined by the last modification time of the whole spreadsheet reported by Google, so the result may differ from the order of edits within a sync interval. Deleting a row in the spreadsheet does not delete the CRM record.

5.3. Visibility of exported data. Data exported to a Google spreadsheet becomes visible to everyone the spreadsheet is shared with, independently of their permissions in Bitrix24. Syncs run with the permissions of the Bitrix24 administrator who installed or last opened the Application as administrator and may include CRM records that some employees cannot see in Bitrix24. The Licensee is responsible for exporting only data it is entitled to share and for the sharing settings of its spreadsheets.

5.4. Google account. The Google account connected to the Application is the Licensee's responsibility; its use of Google services is governed by its agreement with Google. Spreadsheets created by the Application belong to that Google account. The Application accesses only spreadsheets it creates or that the user chooses in the Google Picker (Google scope drive.file).

5.5. Limits of Bitrix24 and Google. Syncs depend on the availability and limits of Bitrix24 (request rate and execution time) and Google (requests per minute, 10 million cells per spreadsheet). When a limit is reached, the Application retries later; an export that would exceed the size limit of Google Sheets is refused. Real-time updates usually appear within seconds to a few minutes and are not guaranteed to be instantaneous; a daily full refresh corrects missed updates.

6. Restrictions

The Licensee shall not: (a) copy, modify, decompile or reverse engineer the Application except as permitted by mandatory law; (b) resell, sublicense or provide the Application to third parties as a service; (c) circumvent security, access controls or plan limits; (d) use the Application to violate the law or the rights of others, including sending personal data to persons not entitled to receive it; (e) interfere with the Application's operation or overload it.

7. Licensee's responsibilities

7.1. The Licensee is responsible for the data in its Bitrix24 account, in uploaded files and in its spreadsheets, and for having a lawful basis to process the personal data they contain, including informing its clients and employees as required by the GDPR.

7.2. The Licensee is responsible for the access rights it grants in Bitrix24: any user who can open the Application can export the CRM records they can see and import files within their Bitrix24 permissions. Connecting Google, managing Syncs and the Subscription is limited to Bitrix24 administrators.

8. On-premise Bitrix24

The Application works with an on-premise Bitrix24 if the account and the Licensor's servers can reach each other over HTTPS (REST API, notifications and application pages). Real-time and scheduled Syncs require that the on-premise installation can renew the Application's access through the Bitrix24 OAuth server. The Licensor is not responsible for network, certificate or firewall settings of an on-premise installation.

9. Personal data

Personal data is processed in accordance with the Sheets24 Privacy Policy (https://sheets.ai-automation-agency.biz/legal/privacy), including its section on the Google API Services User Data Policy. Its Section 12 (Data Processing Terms under Article 28 GDPR) forms an integral part of this Agreement.

10. Availability, support and updates

10.1. The Licensor makes reasonable efforts to keep the Application available but does not guarantee uninterrupted or error-free operation.

10.2. Support is provided by e-mail at artismediaeu@gmail.com, Monday–Friday, 9:00–18:00 CET, in English or Polish (German on request). We aim to respond within two business days. Support covers the Application's features, help with file formats and field mapping, and diagnosing and fixing errors of the Application. It does not cover setting up or repairing the Licensee's Bitrix24 or Google account, or data cleansing.

10.3. Updates are installed by the Licensor automatically and at no extra charge. This Agreement applies to all updates.

10.4. The Application depends on Bitrix24 and Google and their APIs; their changes, limits or outages are outside the Licensor's control.

11. Warranty disclaimer

11.1. To the maximum extent permitted by law, the Application is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

11.2. The result of imports and Syncs depends on the data and mapping chosen by the Licensee. The Licensor is not responsible for CRM records created or changed by imports confirmed by the Licensee's users or by Syncs configured by its administrators, or for data made visible through the Licensee's spreadsheet sharing settings.

12. Limitation of liability

12.1. To the maximum extent permitted by law, the Licensor shall not be liable for indirect or consequential damages, lost profits, lost data or business interruption.

12.2. The Licensor's total liability under this Agreement is limited to EUR 100 or the amount paid by the Licensee for the Subscription in the preceding 12 months, whichever is greater.

12.3. Nothing in this Agreement limits liability for damage caused intentionally, or any liability that cannot be limited under applicable law, including the rights of consumers.

13. Term and termination

13.1. This Agreement is effective from installation until the Application is uninstalled.

13.2. The Licensee may terminate at any time by uninstalling the Application. Uninstalling does not cancel a Subscription (Section 4.10).

13.3. The Licensor may suspend or terminate access for material breach of this Agreement, or discontinue the Application with at least 30 days' notice; in that case any Subscription is cancelled and no further payments are charged.

13.4. Upon uninstall, the Application revokes its Google access and data is deleted as described in the Privacy Policy, except billing records and the record that the Trial has been used. CRM records remain in the Bitrix24 account; spreadsheets remain in the Google account.

14. Changes

The Licensor may update this Agreement. The current version is published at https://sheets.ai-automation-agency.biz/legal/license. Material changes take effect no earlier than 30 days after publication; continued use after that date means acceptance. Changes to this Agreement do not by themselves make features of the Free plan payable and do not change the price of an active Subscription.

15. Governing law and disputes

15.1. This Agreement is governed by the laws of the Republic of Poland, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods.

15.2. Disputes shall be resolved by the common court competent for the Licensor's registered office in Warsaw, unless mandatory law provides otherwise (in particular for consumers).

16. Miscellaneous

16.1. If any provision is held invalid, the remaining provisions remain in force.

16.2. This Agreement, together with the Privacy Policy and the Refund and Cancellation Policy, constitutes the entire agreement regarding the Application.

16.3. In case of discrepancies between language versions, the English version prevails.
